Terms and condition
Effective Date: 20/07/2026
These Terms and Conditions (“Terms”) govern your access to and use of the website, online application portal, and related services (collectively, the “Platform”) operated by KinectCredit, Inc. (“KinectCredit,” “we,” “us,” or “our”), as well as your application for and use of an unsecured business line of credit offered through the Platform (the “Line of Credit”). By accessing the Platform, submitting an application, or accepting a Line of Credit, you (“Customer,” “you,” or “your”) agree to be bound by these Terms.
If you do not agree to these Terms, you must not access the Platform or apply for a Line of Credit. These Terms apply in addition to, and do not replace, the specific credit agreement, disclosure schedule, and any related documents you sign at the time a Line of Credit is approved and funded (collectively, the “Credit Agreement”). In the event of a conflict between these Terms and the Credit Agreement, the Credit Agreement controls with respect to the terms of your specific Line of Credit.
1. Eligibility
To use the Platform or apply for a Line of Credit, you must: (a) be at least 18 years of age; (b) be authorized to act on behalf of, and bind, the business entity applying for credit; (c) operate a legally formed business in the United States; and (d) provide accurate, current, and complete information as requested during the application process. KinectCredit reserves the right, in its sole discretion, to decline any application or refuse service to any person or business.
2. Application Process and Authorization
By submitting an application, you authorize KinectCredit and its affiliates, agents, and service providers to: (a) obtain consumer and commercial credit reports, bank account information, and other financial information about you and your business from credit bureaus, financial institutions, and other third-party data sources; (b) verify the information you provide, including through bank-linking services; and (c) share application and account information with funding partners, underwriters, and service providers involved in evaluating or servicing your application.
You represent that all information submitted in connection with your application is true, accurate, and complete, and you agree to promptly notify KinectCredit of any material change to that information.
3. Nature of the Line of Credit
The Line of Credit is an unsecured, revolving line of credit extended to qualifying businesses. It is not a traditional term loan. Draws against an approved Line of Credit are subject to the credit limit, draw fees, and repayment terms set forth in your Credit Agreement. Approval of an application, and the amount of any credit limit offered, is determined in KinectCredit’s sole discretion based on underwriting criteria that may include business revenue, time in operation, credit history, and other factors.
KinectCredit is not a bank. Funding for Lines of Credit may be provided directly by KinectCredit or by one or more third-party lending partners. Where a third-party lending partner is involved, that partner’s name and specific terms will be disclosed to you before you accept a Line of Credit.
4. Fees and Repayment
Fees applicable to your Line of Credit, including any draw fees, maintenance fees, or late payment fees, will be disclosed in your Credit Agreement prior to your acceptance. You agree to repay all amounts drawn, together with applicable fees, in accordance with the repayment schedule set forth in your Credit Agreement. Late or missed payments may result in additional fees, suspension of your Line of Credit, and reporting to commercial credit bureaus.
You authorize KinectCredit to debit the bank account you designate for scheduled repayments. You are responsible for ensuring sufficient funds are available on each scheduled repayment date. Returned or failed payments may result in additional fees as disclosed in your Credit Agreement.
5. Personal Guaranty
As a condition of receiving a Line of Credit, one or more principals, owners, or officers of the business (each, a “Guarantor”) may be required to execute a personal guaranty in favor of KinectCredit. Under a personal guaranty, the Guarantor personally agrees to be responsible for repayment of amounts owed under the Line of Credit if the business fails to repay as agreed, subject to the specific terms of the guaranty document. The scope and terms of any personal guaranty will be set out in a separate guaranty agreement provided at the time of underwriting, and the Guarantor will have the opportunity to review those terms before signing.
6. Representations and Warranties
You represent and warrant that: (a) you have full authority to apply for and accept credit on behalf of the business; (b) the business is validly organized and in good standing; (c) entering into the Credit Agreement will not violate any other agreement to which the business is a party; and (d) all financial and business information you provide is accurate and not misleading.
7. Use of the Platform
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not: (a) misrepresent your identity or business information; (b) interfere with or disrupt the operation of the Platform; (c) attempt to gain unauthorized access to any portion of the Platform or related systems; or (d) use the Platform to submit fraudulent applications or engage in any deceptive practice.
8. Intellectual Property
All content on the Platform, including text, graphics, logos, and software, is owned by KinectCredit or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. No other rights are granted.
9. Disclaimers
THE PLATFORM AND ANY RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. KINECTCREDIT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KINECTCREDIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR A LINE OF CREDIT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. KINECTCREDIT’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS WILL NOT EXCEED THE TOTAL FEES YOU PAID TO KINECTCREDIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless KinectCredit and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your Credit Agreement, or your misuse of the Platform.
12. Termination
KinectCredit may suspend or terminate your access to the Platform at any time, with or without cause, including if you breach these Terms. Termination of Platform access does not affect your obligations under any existing Credit Agreement, which will continue to govern any outstanding balance until repaid in full.
13. Dispute Resolution: Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
13.1 Agreement to Arbitrate
Except as set forth below, you and KinectCredit agree that any dispute, claim, or controversy arising out of or relating to these Terms, your Credit Agreement, or your relationship with KinectCredit (a “Dispute”) will be resolved through final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court.
13.2 Class Action Waiver
YOU AND KINECTCREDIT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
13.3 Arbitration Procedure
The arbitration will be administered by a recognized arbitration organization mutually agreed upon by the parties, or in the absence of agreement, the American Arbitration Association, under its commercial arbitration rules then in effect. The arbitration will take place in New York, New York, unless you and KinectCredit agree otherwise. The arbitrator’s decision will be final and binding, subject to any right of appeal provided under applicable arbitration law.
13.4 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to KinectCredit at the address in Section 17 within thirty (30) days of first accepting these Terms. If you opt out, neither you nor KinectCredit will be required to arbitrate Disputes, but all other provisions of these Terms will continue to apply.
14. Governing Law
These Terms and any Dispute arising out of or related to them or to your use of the Platform will be governed by the laws of the State of New York, without regard to its conflict-of-laws principles, except to the extent governed by the Federal Arbitration Act with respect to Section 13.
15. Modifications to These Terms
KinectCredit may update these Terms from time to time. We will post the revised Terms on the Platform and update the Effective Date above. Your continued use of the Platform after the revised Terms are posted constitutes your acceptance of the changes. Material changes affecting an existing Line of Credit will not apply retroactively to that Line of Credit unless required by law or agreed to separately.
16. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with your Credit Agreement, constitute the entire agreement between you and KinectCredit regarding the Platform and your Line of Credit. KinectCredit’s failure to enforce any provision is not a waiver of that provision. You may not assign your rights under these Terms without KinectCredit’s prior written consent; KinectCredit may assign these Terms in connection with a merger, acquisition, or sale of assets.
